Terms and Conditions — [South East Drones]

 

1. 

Definitions

  • “The Company” means South East Drones, its employees, and subcontractors.

  • “The Client” means the person, company, or organisation requesting the services.

  • “The Services” means any aerial photography, videography, or related work carried out by The Company.

  • “Footage” or “Content” means all photographic images, video, or other digital material supplied by The Company.

 

2. 

Compliance and Regulations

  • All drone operations are conducted in accordance with the UK Civil Aviation Authority (CAA) regulations under the UK UAS (Unmanned Aircraft System) Rules.

  • The Company holds valid CAA Operational Authorisation (if applicable) and required insurance for aerial work.

  • Flights will not take place:

    • Outside of approved airspace without permission.

    • Within restricted or prohibited zones (e.g., near airports, prisons, MOD sites).

    • In unsafe weather conditions or where safety is compromised.

  • The Company reserves the right to cancel or postpone a flight if it deems the operation unsafe or non-compliant with CAA rules.

 

3. 

Client Responsibilities

  • The Client must:

    • Obtain any landowner permissions for take-off and landing sites.

    • Disclose any relevant information that may affect flight safety (e.g., nearby power lines, events, or people on-site).

    • Ensure that all persons on-site are informed of the drone operation and remain at a safe distance.

  • Where filming occurs over private or commercial property, the Client is responsible for securing all necessary permissions from property owners or occupants.

 

4. 

Weather and Postponement

  • Drone flights are weather-dependent. Operations cannot proceed in:

    • High winds 

    • Rain, snow, fog, or poor visibility

    • Extreme temperatures or electromagnetic interference

  • If weather prevents flight on the scheduled day, the Company will reschedule at no extra charge.

  • If the Client cancels after mobilisation, additional costs (e.g. travel, accommodation) may apply.

 

5. 

Pricing and Payment

  • Quotations are valid for 30 days unless otherwise stated.

  • A  50% deposit will be required to secure booking, with the balance due on delivery of final content.

  • Payments are due within [7] days of invoice.

  • Late payments may incur interest in line with the Late Payment of Commercial Debts (Interest) Act 1998.

 

6. 

Cancellations

  • Cancellations must be made in writing.

  • Cancellation fees:

    • More than 7 days before shoot: No charge. (See 11. regarding travel costs)

    • 3–7 days before shoot: 50% of fee.

    • Less than 48 hours: 100% of fee.

  • Weather-related postponements are exempt from cancellation fees.

 

7. 

Intellectual Property and Usage Rights

  • Copyright of all Footage remains the property of The Company unless otherwise agreed in writing.

  • Upon full payment, The Client is granted a non-exclusive, royalty-free licence to use the Footage for the purpose agreed (e.g., marketing, publication, broadcast).

  • The Client may not sell or license the Footage to third parties without written permission.

  • The Company retains the right to use Footage for self-promotion, including website, social media, and showreels, unless the Client requests otherwise in writing.

 

8. 

Liability

  • The Company holds valid Public Liability Insurance (maximum. 25 million) covering drone operations.

  • The Company is not liable for:

    • Indirect or consequential loss.

    • Damage or delay caused by factors beyond its control (e.g., weather, airspace restrictions, equipment failure).

  • The Client indemnifies The Company against claims from third parties arising from misuse of Footage or unauthorised reproduction.

 

9. 

Safety and Operational Limits

  • Drone flights are limited to:

    • Maximum altitude: 120 metres (400 ft) AGL.

    • Maximum distance: Visual line of sight (VLOS) – typically 500 metres.

    • Minimum distances: In accordance with CAA category (Open A2/A3 or Specific).

  • Flights will not take place directly over uninvolved people or crowds without explicit CAA authorisation.

 

10. 

Deliverables and File Retention

  • The Company will provide edited and/or raw Footage in the format agreed (e.g., MP4, JPEG, RAW).

  • Standard delivery time is [7] working days from shoot completion.

  • Footage will be retained for [6–12 months]; re-delivery after that period may incur a retrieval fee.

 

11. Travel Costs 

  • Travel costs will apply for services provided more than 20 miles from the company.  These costs cover milage, parking, tolls, accommodation and any other travel related expenses will be added onto the invoice. 

  • In the event of cancellation, any non-refundable costs already incurred will still be charged.

 

12. 

Confidentiality

  • Both parties agree to keep confidential any information disclosed in the course of the project, except where required by law.

 

13. 

Governing Law

  • These Terms and Conditions are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
